Content Distribution & Rights Agreement

This Agreement governs every track, cover image, lyric, and metadata file you submit to the Indie Music Stream artist portal for distribution on the streaming platform. By checking the attestation box at upload and submitting content, you agree to this Agreement in addition to our Terms of Service.

1. Parties

This Content Distribution & Rights Agreement ("Agreement") is between you ("You," "Artist," "Label," or "Rights Holder") and Indie Music Stream("we," "us," or "our").

2. Grant of Distribution Rights

You grant Indie Music Stream a non-exclusive, worldwide, royalty-bearing license to:

  • Host, store, reproduce, and encode Your Content;
  • Stream and make Your Content available to paying listeners on the Indie Music Stream app;
  • Use cover art, metadata, and artist credits for catalog, search, and promotional display within the service;
  • Collect and remit royalties according to the portal payout rules and your configured splits.

You retain ownership of Your Content. This grant does not transfer copyright or neighboring-rights ownership to IMS.

3. Your Representations & Warranties

By submitting content, You represent, warrant, and covenant that:

  • You own or exclusively control all rights necessary to grant the license in Section 2, including master recording rights, composition rights (where applicable), and artwork rights;
  • All metadata You provide (title, artist name, featured artists, songwriters, publishers, ISRC, UPC, label, credits, explicit flag, and release information) is accurate and complete;
  • You have obtained written licenses, assignments, or work-for-hire agreements for all samples, beats, loops, stems, session players, producers, and co-writers as required;
  • Your Content does not infringe any copyright, trademark, right of publicity, privacy right, or other proprietary right of any person or entity;
  • You have authority to bind any label, company, or estate on whose behalf You upload;
  • Your Content complies with applicable laws and platform content standards (including no unauthorized impersonation or fraudulent metadata).

4. Label-Grade Metadata Obligations

You agree to maintain distributor-quality records for each submission, including at minimum: legal title, primary and featured artist names, producer and songwriter credits, publishers (where applicable), ISRC, UPC (when issued), label name, language, explicit content designation, and release date. You will update IMS promptly if ownership, splits, or clearance status changes after submission.

5. Indemnification

You will defend, indemnify, and hold harmless Indie Music Stream, its members, managers, and service providers from any claim, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or related to: (a) Your Content; (b) any breach of this Agreement or the Terms; (c) any allegation that Your Content infringes third-party rights; or (d) inaccurate metadata or royalty split information You provide.

6. Claims, Disputes & Takedown

Third parties may report alleged infringement through our public Rights Claims Portal. We may remove, disable, or withhold distribution of any content pending investigation. Repeat infringers may have accounts terminated. You agree to cooperate with reasonable requests for clearance documentation.

7. Counter-Notification

If Your content is removed due to a claim and You believe the removal was mistaken, You may submit a written counter-notification to legal@indiemusicstream.com with: (a) identification of the removed content; (b) a statement under penalty of perjury that removal was the result of mistake or misidentification; (c) Your contact information; and (d) consent to jurisdiction of the federal courts for your address (or Wyoming if outside the U.S., unless otherwise required by law). Content may be restored only where permitted by law and after any applicable notice period.

8. Termination of Distribution

You may request removal of specific content subject to operational and contractual obligations already in effect. We may suspend or remove content that violates this Agreement, receives a valid rights claim, or creates legal exposure. Sections 3, 5, and 7 survive termination.

9. Miscellaneous

This Agreement supplements the Terms of Service. If there is a conflict regarding uploaded content, this Agreement controls. We may update this Agreement by posting a new version; continued uploads after the effective date require acceptance of the updated version at submission time.
