Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Indie Music Stream("we," "us," or "our"). By accessing or using the artist portal, creating an account, or purchasing a membership, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the service.

You must be at least 18 years old and able to form a binding contract to use the portal. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to keep it up to date.

We offer different account types, including Artist and Label accounts. Certain features require an active paid membership.

Paid memberships are offered as fixed-term plans (for example, 1-year, 3-year, and 5-year terms) and a one-time lifetime option. The features included with each plan are described at the point of purchase and may change over time.

Fixed-term memberships grant access for the stated period and do not automatically renew. When a term ends, access to paid features will pause until you purchase a new term. We may send optional reminders before a term expires, but it is your responsibility to renew if you wish to maintain access.

"Lifetime" access refers to continued access to the platform for as long as Indie Music Stream continues to operate the service. It is not a guarantee that the service will be offered for any specific length of time. See Sections 9 and 10.

Memberships may be purchased using supported cryptocurrencies (including USDC on Solana) or by credit/debit card through our third-party payment processor. Card payments may be converted to cryptocurrency as part of the checkout process. Prices are stated at checkout and are inclusive of the membership term selected.

Payments are processed by third-party providers (such as MoonPay Commerce). Your use of those services is subject to their terms and privacy policies. We do not store your full card details. Blockchain transactions are irreversible; you are responsible for sending the correct amount to the correct address and for any network fees.

You are responsible for any taxes associated with your purchase that are not collected by us or the payment processor.

All sales are final. All membership purchases are non-refundable. This includes, without limitation, 1-year, 3-year, 5-year, and lifetime memberships, and applies regardless of payment method (cryptocurrency or card).

We do not provide refunds, credits, or proration for any reason, including:

• Unused or remaining membership time;
• Voluntary account closure or your decision to stop using the service;
• Dissatisfaction with features, content, or results;
• Failure to use the service or to renew before a term expires;
• Suspension or termination of your account for violating these Terms;
• Changes to features or plan contents over time.

Because cryptocurrency and converted card payments are irreversible, chargebacks are not available for crypto-settled transactions. Initiating a fraudulent chargeback may result in immediate termination of your account without refund.

Nothing in this section limits any rights you may have that cannot be waived under applicable law. Where a refund is required by law, it will be limited to the minimum required.

You retain ownership of the music, artwork, metadata, and other materials you upload ("Your Content"). You grant us a non-exclusive, worldwide, royalty-bearing license to host, store, reproduce, stream, and display Your Content to operate the service, as further described in our Content Distribution & Rights Agreement.

You represent and warrant that you own or have all necessary rights to Your Content and that it does not infringe the rights of any third party. You are responsible for the accuracy of royalty splits, songwriter/publisher credits, ISRC/UPC data, and collaborator information you configure. Each upload requires an electronic attestation recorded at submission time.

Royalty payouts, where applicable, are handled separately from membership payments and are governed by the payout features within the portal. Earnings accrue based on data reported by the streaming platform and are paid to your configured payout wallet on a recurring schedule. Membership fees are separate from, and not offset against, any royalties owed to you.

You are responsible for maintaining an accurate, verified payout wallet. We are not responsible for funds lost due to incorrect wallet addresses or loss of access to your wallet.

Rights holders and authorized representatives may report alleged infringement through our public Rights Claims Portal or by email to legal@indiemusicstream.com. We may remove, disable, or withhold content while investigating a claim. Repeat infringers may have accounts terminated.

If your content is removed and you believe the removal was mistaken, you may submit a counter-notification as described in the Content Agreement. We respond to valid notices consistent with applicable law (including the Digital Millennium Copyright Act where applicable).

You agree not to:

• Upload content you do not have the rights to distribute;
• Use the service for fraud, money laundering, or any unlawful purpose;
• Attempt to disrupt, reverse engineer, or gain unauthorized access to the service;
• Misrepresent your identity, ownership, or royalty splits;
• Resell or share account access in violation of your plan.

We may suspend or terminate your access if you violate these Terms, engage in fraudulent or unlawful activity, or create risk or legal exposure for us. You may stop using the service at any time. As stated in Section 5, termination does not entitle you to any refund.

We may discontinue the service or any plan, in whole or in part, at any time. If we permanently discontinue the entire service, we will make reasonable efforts to provide advance notice.

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that any earnings or results will be achieved.

To the maximum extent permitted by law, Indie Music Stream and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or cryptocurrency, arising out of or related to your use of the service. Our total liability for any claim relating to the service will not exceed the amount you paid to us for your membership in the twelve (12) months before the event giving rise to the claim.

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.
